Terms of Service

By accessing or using Sprokl, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using Sprokl on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

Sprokl is an AI-powered video creation platform that helps ecommerce sellers generate TikTok marketing scripts and short-form promotional videos automatically. Our Services include:

• AI-generated TikTok scripts based on your product information
• Automated short-form video synthesis from generated scripts
• Content management and export tools for ecommerce sellers

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

You must be at least 18 years of age to use Sprokl. By using our Services, you represent and warrant that you meet this requirement. We do not knowingly provide Services to individuals under 18. If we discover a user is under 18, we will terminate their account immediately.

To access Sprokl, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain and update your information as necessary
• Keep your password confidential and not share it with others
• Notify us immediately of any unauthorized access to your account at [email protected]

You are responsible for all activity that occurs under your account. We are not liable for any loss resulting from unauthorized use of your account.

Sprokl is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan.

Prices are in USD and subject to change. We will notify you of any price changes at least 30 days in advance. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings, and cancellation takes effect at the end of the current billing period.

All payments are processed securely by Stripe. We do not store your full payment card details.

After the 7-day window, subscription fees are non-refundable. Renewal charges are not eligible for refunds. If you believe a charge was made in error, contact us and we will review your case on a case-by-case basis.

We reserve the right to refuse refunds if we determine that these policies are being abused.

You agree to use Sprokl only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to create content that is illegal, harmful, defamatory, or infringes any third party's rights
• Generate content that is deceptive, misleading, or constitutes false advertising
• Attempt to reverse-engineer, scrape, or extract data from our platform without permission
• Use automated tools to access the Services in a manner that places excessive load on our infrastructure
• Share, resell, or sublicense access to the Services without our written consent
• Use the Services to generate spam, unsolicited communications, or content that violates TikTok's Community Guidelines or Terms of Service
• Attempt to gain unauthorized access to any part of the Services or related systems
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate accounts that violate these guidelines, without refund.

Our Property

The Sprokl platform, including its software, design, interface, branding, and underlying technology, is owned by us and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our express written permission.

Your Content

You retain ownership of any product information, text, images, or other materials you submit to Sprokl ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store it solely for the purpose of providing the Services to you.

Generated Output

Videos and scripts generated through Sprokl using your input are provided for your commercial use. You are responsible for ensuring that your use of generated content complies with applicable laws and platform policies, including TikTok's terms of service.

You represent and warrant that any content you submit to Sprokl (including product descriptions, images, and branding): (a) is owned by you or you have all necessary rights to use it; (b) does not infringe any third party's intellectual property rights; (c) does not violate any applicable law; and (d) is accurate and not misleading.

We are not responsible for any content you submit or generate using our platform. You are solely responsible for your use of generated videos and scripts, including compliance with advertising regulations and platform rules.

Our Services use artificial intelligence to generate scripts and videos. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or not suitable for all purposes
• You should review all generated content before publishing or distributing it
• We do not guarantee that AI-generated content will achieve any specific marketing result
• You are solely responsible for any claims, losses, or damages arising from your publication or use of AI-generated content
• Generated content is processed through our AI provider (OpenAI) and subject to their usage policies

Sprokl integrates with third-party services including Stripe (payments), OpenAI (AI processing), Clerk (authentication), Supabase (database), Railway (hosting), and Cloudflare (infrastructure). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions, practices, or content of any third-party service.

Our Services are designed to create content for TikTok and other social platforms. We are not affiliated with, endorsed by, or sponsored by TikTok or ByteDance. You are responsible for ensuring your content complies with TikTok's terms and community guidelines.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) any generated content will be accurate, complete, or appropriate for your specific use; (c) the Services will meet your specific business requirements; or (d) any particular results or revenue will be achieved through use of the Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPROKL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Sprokl and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us. Termination takes effect at the end of your current billing period.

We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or the integrity of the platform. Upon termination, your right to access the Services ceases immediately. We may retain certain information as required by law or for legitimate business purposes.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through informal negotiation by contacting us at [email protected].

If informal resolution is not achieved within 30 days, disputes shall be resolved through binding arbitration on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you by email or via an in-app notification at least 14 days before the changes take effect. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
